Terms of Service

Last updated: March 2024

1. Acceptance of Terms

By accessing or using Schedira ("the Service"), you agree to be bound by these Terms of Service. If you do not agree to these terms, you may not use the Service. These terms apply to all users, including visitors, registered users, and account administrators.

2. What Schedira Does

Schedira is an AI-powered project schedule intelligence platform for teams working with Primavera P6 XER files. The Service allows you to upload schedule data, compare versions, receive AI-generated insights about schedule changes and delays, and generate formatted reports for project leadership.

Schedira currently supports Primavera P6 XER and XLSX files. Both licensed and unlicensed versions of Primavera P6 are supported. We may modify, add, or remove features at any time and will make reasonable efforts to notify registered users of material changes.

3. Account Registration

To use the Service, you must create an account by providing accurate information including your name and email address. You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account.

You must be at least 18 years of age to create an account. By registering, you confirm that the information you provide is accurate and that you have authority to accept these Terms on behalf of yourself or your organisation. After registration, a verification email is sent to your address — you must click the verification link to activate your account.

4. Acceptable Use

You agree to use the Service only for lawful, professional purposes and in accordance with these Terms. You agree not to:

  • Upload schedule files or project data that you do not have the right to share
  • Attempt to reverse-engineer, decompile, or extract any part of the Service's software or AI models
  • Use the Service to transmit content that is unlawful, harmful, or infringes on the rights of others
  • Misrepresent your identity or organisational affiliation when using the Service
  • Use automated tools to scrape or extract data from the Service without prior written permission
  • Circumvent any technical limitations, security measures, or access controls in the Service

5. Your Files and Data

You retain ownership of all schedule files (XER and XLSX) you upload to Schedira. By uploading files, you grant Schedira a limited, non-exclusive licence to process and analyse those files solely for the purpose of delivering the Service to your account.

You are responsible for ensuring you have the right to upload any project data, and that doing so does not violate confidentiality obligations, client agreements, or applicable law. Schedira will not share your uploaded files or project data with third parties except as described in our Privacy Policy.

6. AI-Generated Insights and Reports

Schedira uses artificial intelligence to analyse your schedule data and generate insights, comparisons, and executive reports. While we work to ensure the accuracy and usefulness of these outputs, AI-generated analysis may contain errors or omissions.

All insights, metrics, and reports generated by the Service should be reviewed by a qualified professional before being relied upon for project decisions. Schedira is not liable for any decisions made or actions taken based on AI-generated insights, including schedule delays, cost overruns, or contractual disputes arising from reliance on platform outputs.

7. Intellectual Property

The Schedira name, logo, platform design, software, and underlying technology are the property of Schedira and are protected by applicable intellectual property laws. You may not use our branding or technology without our express written permission.

The analytical outputs, report formats, and insights generated by Schedira belong to Schedira, though you are granted a licence to use them for your own internal and client-facing project purposes.

8. Limitation of Liability

To the fullest extent permitted by applicable law, Schedira and its team members shall not be liable for any indirect, incidental, special, consequential, or punitive damages — including loss of profits, project data, or business outcomes — arising out of or relating to your use of the Service.

Our total liability to you for any claims arising from these Terms or the Service shall not exceed the amount you have paid to Schedira in the three months preceding the claim, or USD 100, whichever is greater.

9. Disclaimer of Warranties

The Service is provided "as is" and "as available" without warranties of any kind, express or implied — including warranties of merchantability, fitness for a particular purpose, or non-infringement. We do not warrant that the Service will be uninterrupted, error-free, or completely secure at all times.

10. Schedule Processing

Schedule uploads are processed in the order received. Processing typically takes 1–3 minutes depending on schedule size and server load. The platform updates automatically upon completion — no manual refresh is needed. Always upload your Baseline version first before adding Update versions for comparison.

11. Termination

You may stop using the Service and close your account at any time. We reserve the right to suspend or terminate your account if you violate these Terms, engage in fraudulent activity, or use the Service in a manner that harms other users or Schedira's systems. Upon termination, your access will cease and your data may be deleted in accordance with our retention practices described in the Privacy Policy.

12. Changes to These Terms

We may update these Terms from time to time. We will notify registered users of material changes via email or a notice within the Service. Your continued use of the Service after changes take effect constitutes your acceptance of the revised Terms.

13. Governing Law

These Terms are governed by and construed in accordance with applicable laws. Any disputes arising from these Terms shall first be attempted to be resolved through good-faith direct negotiation. If unresolved, disputes shall be subject to binding arbitration or the courts of competent jurisdiction as appropriate.
